The Expertise We’re Looking For
- Minimum five years as a practicing attorney with relevant experience.
- Experience working with a range of institutional asset management issues.
- Experience working with institutional client accounts (negotiating Investment Management Agreements, etc.).
- Experience structuring and working with private (3(c)(7)) Funds.
- Experience reviewing marketing materials and familiarity with new marketing rule.
- Familiarity with the Investment Advisers Act of 1940, and collective investment trust laws (3(c)(11) pools) and practices.
- Strong practical skills and industry knowledge.
- Experience with Direct Lending/Private Credit Funds and/or BDCs a plus.
- Familiarity with ERISA a plus.
- Familiarity with CFTC regulations and Commodity Pools a plus.
The Purpose of Your Role
Provide counsel to Fidelity Asset Management with respect to the legal and regulatory issues associated with its Institutional and Alternatives Asset Management Business with experience dealing with Institutional Investors, including HNW Investors, Family Offices, Endowments and Foundations, ERISA and Government Plan clients investing in separate accounts, privately offered funds and collective investment trusts. In this role, you will provide all aspects of legal support to Fidelity Asset Management’s Institutional and Alternative Investments business, including product structuring, product governance, side letter and investment management agreement negotiation, placement agent and solicitation agreement drafting and negotiation, as well as assisting the business with client inquiries and communications.

The Value You Deliver
- You will be a key member and contributor to Fidelity Asset Management Legal Department’s Institutional team. You will work alongside a small legal team of other attorneys and paralegals dedicated to the institutional/alternatives space. This team works together to support the institutional/alternatives investment and sales teams.
- You will interact with product, portfolio management, sales, compliance, risk and trading professionals.
- You will have responsibility for assisting with the structuring and development of institutional and alternative products.
- You will have responsibility for negotiating the terms of investment management agreements with institutional clients (including Pensions/ERISA Plans).
- In collaboration with other members of the Fidelity Asset Management Legal team, you will work closely with Asset Management Compliance and Risk to resolve issues.
